Terms of service
These Terms of Service (the "Terms") are a binding agreement between you and propane media ("propane", "we", "us" or "our") governing your access to and use of propanemedia.ai (the "Site") and our clipping service (together, the "Service"). By creating an account, purchasing credits, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal data and forms part of these Terms.
1. The Service
propane is a tool for creating short-form vertical video reels from a catalog of sports broadcast footage. You choose a match, team or player and a set of options; the Service renders the corresponding reels and makes them available to you to download and edit. Rendering a reel consumes credits (see Section 4); re-editing and re-exporting a reel you have already generated is free.
The catalog, the options available, and the output formats may change over time as we improve the Service.
2. Eligibility
You must be at least 16 years old to use the Service, and at least 18 years old (or the age of majority where you live) to purchase credits. By using the Service you represent that you meet these requirements and that you are not barred from using the Service under any applicable law.
3. Accounts
- Your account is identified by your email address. Sign-in uses single-use links sent to that address; there are no passwords. You are responsible for maintaining control of your email account — anyone who can read your email can sign in as you.
- You must provide an email address you own and keep it current. You may not create accounts for anyone other than yourself, use another person's account, or create multiple accounts to obtain sign-up benefits more than once.
- You are responsible for all activity that occurs under your account. Tell us promptly if you believe your account has been accessed without your authorization.
4. Credits, pricing and payment
- Credits. Generation is paid for in credits. Each rendered reel variant consumes credits at the rate shown in the app before you confirm a generation. Identical variants in one batch are de-duplicated and charged once.
- Purchases. Credits are purchased through our payment processor, Stripe. Prices are shown at checkout and may change at any time; a price change never affects credits you have already purchased.
- Nature of credits. Credits are a prepaid right to use the Service. They are not money, have no cash value, are not transferable between accounts, and cannot be redeemed for cash except where required by law. We may grant promotional credits (for example, a sign-up grant); promotional credits carry no cash value and may be subject to additional conditions.
- Taxes. Prices include or exclude taxes as shown at checkout. You are responsible for any applicable taxes on your purchase.
5. Refunds
- Failed generations are refunded automatically. If a reel fails to render, the credit spent on it is returned to your balance without you needing to do anything.
- Successful generations are final. Because each reel is rendered on demand at your request, credits spent on a successfully delivered reel are not refundable.
- Unused credits. Purchases of credits are otherwise final. If you are a consumer in the EU/EEA or UK, you acknowledge that by purchasing credits you request immediate performance and that, once credits are spent on rendered content, you lose the right of withdrawal in respect of the spent amount; any statutory rights you have regarding unspent credits remain unaffected.
- Nothing in this section limits any non-waivable statutory rights you have as a consumer in your country of residence.
6. Content and intellectual property
6.1 The Service
The Service — including the Site, software, design, and branding — is owned by propane or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell or lease any part of the Service, or reverse-engineer or attempt to extract the source code of the Service, except to the extent a right to do so cannot be excluded by law.
6.2 Footage
The sports footage, team and competition names, and related material available through the Service belong to their respective rights holders. propane does not claim ownership of underlying broadcast footage. Access to the catalog through the Service does not grant you any license from those rights holders.
6.3 Generated reels
As between you and propane, propane claims no ownership over the reels you generate. Your ability to use a generated reel may, however, be subject to the rights of third parties in the underlying footage — see Section 7.
7. Your use of generated reels
You are solely responsible for how you use the reels you generate. In particular:
- It is your responsibility to ensure that your intended use of a reel — including publishing it on any platform — complies with applicable law and with the rights of broadcasters, leagues, clubs and other rights holders in your jurisdiction and the jurisdictions where you publish;
- You are responsible for complying with the terms and content policies of any platform on which you publish a reel;
- You may not represent that a reel is endorsed by, or affiliated with, propane, any broadcaster, league, club or player;
- You may not use reels in a way that is defamatory, misleading, or unlawful.
propane provides the tooling; it does not provide legal clearance for your use of the output and makes no representation that any particular use of a reel is permitted.
8. Acceptable use
You agree not to, and not to attempt to:
- Use the Service in violation of any applicable law;
- Probe, scan, or test the vulnerability of the Service, breach or circumvent its security or authentication measures, or access data or accounts you are not authorized to access;
- Circumvent rate limits, credit accounting, or any usage restriction, or obtain credits or reels without paying for them;
- Scrape, crawl, or bulk-download the catalog or the Service other than through the interfaces we provide;
- Resell, sublicense, or provide access to the Service to third parties as a service bureau or otherwise, without our written agreement;
- Interfere with the operation of the Service, including by imposing an unreasonable load on our infrastructure or introducing malicious code;
- Use the Service to harass, defame, or harm any person.
9. Availability and changes to the Service
We work to keep the Service fast and available, but it is provided without any guarantee of uninterrupted availability. We may modify, suspend, or discontinue any part of the Service at any time, including the composition of the catalog. Where a change materially reduces functionality you have prepaid for, we will make a fair remedy available (for example, a credit refund for affected unspent credits).
We may impose or adjust usage limits (such as generation concurrency or rate limits) to protect the integrity of the Service.
10. Suspension and termination
- By you. You may stop using the Service at any time and may ask us to delete your account (see the Privacy Policy for what deletion involves).
- By us. We may suspend or terminate your access to the Service, with or without notice, if you materially or repeatedly breach these Terms, if your use creates risk or legal exposure for us, or if we discontinue the Service. Where practicable, we will give you notice and an opportunity to export your generated reels.
- If we terminate your account other than for your breach, we will refund the value of your unspent purchased credits. If your account is terminated for breach, unspent credits may be forfeited to the extent permitted by law.
- Sections that by their nature should survive termination (including Sections 6, 7, 11, 12, 13 and 15) survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPANE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT THE CATALOG WILL CONTAIN ANY PARTICULAR MATCH, TEAM OR EVENT.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these Terms excludes statutory consumer guarantees that cannot lawfully be excluded.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) PROPANE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE; AND (b) PROPANE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO PROPANE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud.
13. Indemnification
To the extent permitted by law, you will indemnify and hold harmless propane from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with (a) your use of the Service in breach of these Terms, or (b) your use, publication or distribution of generated reels, including any claim by a rights holder relating to content you published. This obligation does not apply to consumers where and to the extent such indemnities are unenforceable under local law.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page, and for material changes we will give you reasonable advance notice (for example, by emailing the address on your account or by a prominent notice in the app). Changes apply prospectively. If you do not agree to updated Terms, stop using the Service before they take effect; continued use after the effective date constitutes acceptance.
15. General provisions
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and propane regarding the Service and supersede any prior agreements on that subject.
- Severability. If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
- Governing law. These Terms are governed by the law of the jurisdiction in which propane media is established, without regard to its conflict-of-laws rules, and disputes are subject to the courts of that jurisdiction — except that if you are a consumer, you retain the protection of the mandatory consumer-protection rules, and the right to bring proceedings in the courts, of the country where you habitually reside.
